For Business, Corporate, Vendor, and Organisational Referrers

Business Referral Program Terms & Conditions

1. Introduction

1.1 This agreement is between VoltX Energy (“we”, “us”), the Business Referrer (“the Business”, “Partner”, “you”), and any Referred Customer (“Employee”, “Staff Member”, “Referred Customer”).

1.2 This agreement consists of:
(a) these Terms & Conditions; and
(b) any registration, referral confirmation, or communication issued through the VoltX Energy Referral Portal.

1.3 This agreement governs participation in the VoltX Energy B2B Referral Program, including:
(a) eligibility and onboarding requirements;
(b) obligations of the Business Referrer;
(c) referral submission, attribution, and validation rules; (d) reward qualification; and (e) conduct, compliance, fraud, and dispute procedures.

1.4 You accept these Terms by:
(a) accepting a partner invitation;
(b) registering in the Referral Portal;
(c) sharing a unique referral link; or
(d) submitting or promoting any referral.

1.5 Participation is not final until onboarding is completed, system access is approved, and VoltX Energy confirms eligibility.

1.6 Either party may terminate participation in accordance with Clause 13.

1.7 Clauses relating to dispute handling, privacy, fraud, misconduct, and reward recovery survive termination.

1.8 VoltX Energy complies with all relevant consumer, data, and commercial laws.

1.9 Defined terms appear in Section 17.

2. Eligibility

2.1 Eligibility — Business Referrers

A Business Referrer may participate if:
(a) they are invited by VoltX Energy; 
(b) they are an existing business partner, vendor, reseller, or approved commercial entity;
(c) VoltX Energy has verified the organisation and granted portal access; and
(d) the Business agrees to abide by these Terms & Conditions.

2.2 Eligibility — Referred Customers

A Referred Customer is eligible if they:
(a) are an employee, contractor, customer, or member associated with the Business Referrer; 
(b) are a new customer who has not previously registered or purchased from VoltX Energy;
(c) existing VoltX Energy customers can also use the referral link, provided the purchase is for a new system. The new order must be placed after the customer uses the referral link supplied by the Business Partner.
(d) sign up and submit details through the Business’ unique referral link;
(e) pass VoltX Energy’s installation, property suitability, and serviceability checks;
(f) and gets a system installed by VoltX Energy in-house or partner installer.

2.3 Additional Rules

(a) Referrals must be genuine and tied to actual individuals.
(b) Self-referrals, duplicate referrals, or referrals made with the intention of manipulating or unfairly benefiting from the program are not eligible.
(c) Public posting, paid advertising, affiliate-style distribution, or mass sharing of links is prohibited.
(d) Businesses must not incentivise staff in ways that breach workplace laws.
(e) VoltX Energy may reject referrals that appear fraudulent or non-genuine.
(f) VoltX Energy may monitor referral activity and, where necessary, review or limit referral rewards if activity appears inconsistent with the intent of the program. Any such action will be taken to ensure fairness, compliance, and program sustainability. 

3. Rewards

3.1 The Business Referrer receives a cashback reward, unless otherwise specified by an authorised personnel from VoltX Energy in writing, for each valid referral that: 
(a) signs up through the Business’ unique link;
(b) completes a qualifying purchase;
(c) fully pays for their system; and
(d) completes installation.

3.2 The Referred Customer receives a discount offer based on the partnership agreed with the Business Referrer, unless otherwise specified by an authorised personnel from VoltX Energy in writing, applied during their purchase.

3.3 Rewards are processed in monthly cycles (typically between the 15th of each month).

3.4 Payments may be issued to:
(a) the Business; or
(b) an authorised business bank account on record.

3.5 The Business is responsible for declaring any taxable income arising from rewards.

3.6 VoltX Energy may audit referrals to ensure validity before releasing rewards.

3.7 Referral rewards and discounts are not transferable, not redeemable for cash, and are generally not valid in conjunction with other promotions, offers, or campaigns. However, VoltX Energy may approve the use of a referral discount alongside selected promotions at its discretion. Any such approval must be confirmed in writing and reflected in the customer’s contract or quote.

4. Refunds & Non-Eligibility

4.1 Rewards will not be issued if:
(a) installation is not fully completed;
(b) payment is incomplete, reversed, or invalid;
(c) the Business Referrer shared an incorrect link;
(d) the Referral is considered duplicated or fraudulent;
(e) the Referred Customer cancels their purchase;
(f) the property fails serviceability checks.

4.2 VoltX Energy may recover or reverse any reward or discount applied in error.

4.3 The Business Referrer agrees that VoltX Energy has no liability for delays caused by banking, processing, or payment verification.

5. Program Changes

5.1 VoltX Energy may modify, pause, or terminate the Business Referral Program at any time.

5.2 Changes apply only to future referrals. Existing validated referrals are honoured.

5.3 If the Business Referrer does not agree to the updated Terms, participation must cease immediately.

6. Serviceability & Approvals

6.1 All installations are subject to VoltX Energy’s technical, structural, safety, and serviceability assessments.

6.2 Eligibility approval does not guarantee an installation can proceed.

6.3 If installation is not feasible, no rewards will be payable.

7. Referral Process

7.1 The Business Referrer is invited to create an account on the referral platform to access a unique referral link.

7.2 The Business Referrer may distribute links internally through newsletters, bulletins, email, or HR/employee communication channels.

7.3 The following are prohibited:
(a) paid ads;
(b) posting links on public platforms;
(c) spam-style distribution;
(d) sharing links externally without context.

7.4 A referral is attributed only when a Referred Customer signs up through the Business Referrer’s assigned link.

7.5 If more than one business submits the same referral, the valid referrer is the entity whose link was used at the time of sign-up.

7.6 VoltX Energy does not issue referral links directly to the Referrals or Referred customers. Referral links are provided solely by the Referrer via their unique link. Referred customers should use the link supplied by the Referrer to participate in the program.

8. Access to the Portal

8.1 The Business must keep login credentials secure and restrict access to authorised staff only.

8.2 All actions taken using the Business’ account are deemed authorised by the Business.

8.3 The Business must notify VoltX Energy immediately of any suspected security breach.

9. Business Responsibilities

The Business must:
(a) ensure shared links are distributed ethically and lawfully;
(b) not mislead employees or customers about the program;
(c) not pressure individuals to participate;
(d) comply with all workplace and privacy laws;
(e) provide truthful referral information;
(f) maintain respectful communication with VoltX staff;
(g) ensure no fraudulent or repeated referrals are submitted.

VoltX Energy reserves the right to suspend participation for any breach of these responsibilities.

10. Program Guarantees

VoltX Energy guarantees reasonable care and skill in operating the Referral Portal and validating referrals.

This guarantee does not apply to:
(a) system outages;
(b) internet failures;
(c) misuse or unauthorised portal access by the Business;
(d) inaccurate information provided by the Business.

11. Complaints & Disputes

11.1 Complaints may be submitted through VoltX Energy’s support channels.

11.2 Disputes undergo:
(a) Customer Service review;
(b) Verification against system records;
(c) Escalation to the Program Manager if unresolved.

11.3 The Referred Customer’s written confirmation will determine referral attribution in case of disputes.

11.4 Abusive or aggressive communication may result in program removal.

12. Reward Claims, Investigations & Program Changes

12.1 If a Business Referrer or Referred Customer believes they are entitled to a reward that has not been issued, they may submit a claim to VoltX Energy for review.

12.2 VoltX Energy will investigate claims by reviewing referral records, system logs, eligibility requirements, campaign terms, and installation and payment status.

12.3 Rewards will only be issued if all eligibility criteria and campaign conditions applicable at the time of referral are met.

12.4 Referral programs, promotions, and campaigns operate within defined start and end dates. Claims relating to expired or past campaigns will be assessed in accordance with the terms applicable at the time the referral was submitted.

12.5 VoltX Energy’s determination following investigation is final. No rewards will be payable where eligibility criteria or campaign conditions have not been satisfied.

12.6 These Terms and Conditions, as published on the VoltX Energy website, take effect from 19 January 2026 and apply to referrals submitted on or after this date. Previous versions remain applicable only to referrals submitted during their respective effective periods.

13. Privacy

13.1 VoltX Energy complies with all relevant privacy legislation.

13.2 Information provided under this program may be used for referral tracking, verification, reward processing, program administration, and for sending relevant VoltX Energy product or program updates in accordance with our Privacy Policy. Business may opt out of marketing communications at any time.

13.3 The Business must not share or misuse any customer data received through participation.

14. Failure to Perform

14.1 VoltX Energy may suspend or terminate participation if the Business:
(a) breaches these Terms;
(b) engages in misconduct, harassment, or abusive behaviour;
(c) submits fraudulent or unreliable referrals;
(d) misuses the referral system.

14.2 The Business may be required to forfeit pending rewards.

14.3 Termination does not limit VoltX Energy’s right to pursue recovery of incorrect or fraudulent payouts.

15. GST

All rewards and discounts are inclusive of GST, if applicable. It is the responsibility of the Business or Customer to manage and declare any tax obligations arising from rewards received.

16. General

16.1 Notices

(a) Any notice under this agreement must be in writing and delivered by email, postal mail, or through the VoltX Energy Referral Portal.
(b) A notice is considered received: (i) if sent by email — when it is not returned as undelivered;

(ii) if sent by post — three (3) Business Days after posting;
(iii) if delivered through the Referral Portal (Business Referrers only) — at the time it appears in your portal inbox or notification centre.

(c) You are responsible for keeping your contact details up to date. VoltX Energy is not responsible for missed notices due to changed or inactive email addresses.

16.2 Assignment

(a) You must not assign, transfer, or subcontract any of your rights or obligations under this agreement.
(b) VoltX Energy may assign or transfer its rights or obligations to an affiliated entity or approved third-party service provider, provided such transfer does not materially reduce your rights under this agreement.

16.3 Subcontracting

(a) VoltX Energy may subcontract any part of the Referral Program administration, including:

(i) installation services; 
(ii) payment processing;
(iii) customer support;
(iv) data hosting; and
(v) referral system management (e.g., Referral Rock). 

(b) VoltX Energy remains responsible for ensuring subcontractors meet appropriate service and privacy standards.

16.4 Amendments

(a) VoltX Energy may amend these Terms & Conditions at any time to reflect system improvements, compliance requirements, or operational changes.
(b) Changes will be communicated by email and/or published on the VoltX Energy website or Referral Portal.
(c) Your continued participation after changes have been published constitutes acceptance of the amended Terms.
(d) If you do not agree to any amendment, you must stop participating in the program immediately.

16.5 Waiver

(a) A failure or delay by VoltX Energy to exercise a right under this agreement does not operate as a waiver of that right.
(b) A waiver is only valid if it is provided in writing and expressly states that it is a waiver.
(c) A waiver granted in one instance does not constitute a waiver in any other instance.

16.6 Severance

(a) If any provision of this agreement is found to be invalid, unlawful, or unenforceable, that provision will be severed to the extent necessary.
(b) The remainder of this agreement will continue to operate in full force and effect.

16.7 Entire Agreement

This agreement constitutes the entire understanding between you and VoltX Energy regarding the Referral Program. It supersedes all prior discussions, emails, or informal communications relating to referral rewards or participation.

16.8 Governing Law and Jurisdiction

(a) This agreement is governed by the laws of New South Wales, Australia.
(b) You and VoltX Energy submit to the non-exclusive jurisdiction of the courts of New South Wales.
(c) You agree that any dispute arising under or in connection with this agreement will be resolved in accordance with the dispute procedures outlined in Clause 11 before seeking external remedies.

16.9 Survival

Clauses relating to privacy, fraud, misconduct, reward recovery, limitation of liability, dispute resolution, data use, and definitions continue to apply after this agreement ends.

17. Definitions

The following terms have the meanings set out below. If a term is capitalised anywhere in the Terms & Conditions, its meaning is taken from this section.

Account

The Business’s account in the Referral Portal, used to view activity, manage referrals, and track reward eligibility.

Abusive Behaviour

Any behaviour towards VoltX Energy employees or contractors that is threatening, aggressive, harassing, disrespectful, profane, intimidating, or otherwise inappropriate. This includes verbal abuse, written abuse, harassment, or repeated unreasonable demands.

Business/Business Referrer/Referrer

The company, organisation, vendor, reseller, or partner participating in the B2B Referral Program.

Business Day

A day that is not a weekend or public holiday in New South Wales, Australia.

Cashback Reward

A $200 payment issued to the Business for each validated, fully paid, and installed referral unless otherwise specified by an authorised personnel from VoltX Energy in writing.

Customer Service (CS)

VoltX Energy’s after-sales and support department responsible for handling referral-related inquiries and escalations.

Discount

A $200 reduction applied to the Referred Customer’s purchase during the sales process.

Dispute

Any disagreement regarding referral attribution, eligibility, reward status, or program participation that requires review by Customer Service and, if necessary, escalation to the Program Manager.

Duplicate Referral

Occurs when multiple businesses attempt to refer the same individual. Attribution is determined by the referral link used.

Employee / Staff Member / Member

An individual associated with the participating Business who becomes a Referred Customer.

Eligibility / Eligible Referral

A referral that:

    1. Was submitted through a valid Business referrer link;
    2. Involves a new customer or an existing customer who has previously purchased;
    3. Completes full payment;
    4. Completes installation; and
    5. Meets all serviceability and validation requirements.

Fraud / Fraudulent Activity

Any attempt to manipulate the program, including but not limited to:

    • Submitting fake or altered customer details
    • Referring people within the same household
    • Using multiple identities or accounts
    • Encouraging others to bypass the process
    • Artificially generating leads
    • Misrepresenting your relationship to the referred individual
    • Placing the referral link on forums or community boards

VoltX Energy may suspend or remove participants involved in fraudulent behaviour.

Installation

The physical installation of a VoltX Energy system at the Referred Customer’s property, confirmed by VoltX Energy or its authorised contractors.

Invitation

The formal invitation sent by VoltX Energy granting the Business access to the program.

Lead

A potential customer generated through a referral link before qualification and processing.

Monthly Payout Cycle

The period around the 15th of each month when eligible rewards are processed.

Member / Participant

The Business Referrer and any Referred Customer involved in the program.

Program

The VoltX Energy Referral Program as described in these Terms & Conditions.

Program Manager

The internal VoltX Energy role responsible for reviewing disputes, validating escalations, and overseeing program governance.

Qualified Referral

A referral that meets the serviceability, eligibility, and verification requirements for processing.

Referral Link

A unique URL assigned to the Business, used to track referral attribution.

Referral Portal

The digital platform where the Business manages referral activity.

Referred Customer

The employee, contractor, or member who signs up through the Business’s referral link, goes through sales consultation, purchases a VoltX Energy system, completes full payment, and completes installation.

Reward

The benefit earned by a Business Referrer (cashback) or Referred Customer (discount). Rewards are only provided for valid, completed referrals.

Serviceability Check

An assessment conducted by VoltX Energy to determine whether the Referred Customer’s property is suitable and technically feasible for system installation. Passing this check is required for eligibility.

System / VoltX System

A VoltX Energy solar battery or solar solution purchased by the Referred Customer.

This agreement, including all rules, requirements, policies, responsibilities, disclaimers, and definitions governing the Referral Program.

1. What is the VoltX Energy B2B Referral Program?

The VoltX Energy B2B Referral Program is a referral initiative that allows approved businesses to share a unique referral link with employees, customers, or members. When a referred individual completes installation and full payment for a VoltX Energy system, both the Business and the Referred Customer receive a $200 reward, unless otherwise specified in writing by an authorised VoltX Energy representative.

2. Who can participate?

Participation is limited to invited businesses, vendors, corporate clients, and resellers that have been approved by VoltX Energy.

3. Who can be referred?

Eligible referrals include employees, staff, members, or customers associated with the Business.

4. How is the referral link shared?

5. How is the reward issued to the Business?

A $200 cashback reward is issued after the referred individual:

  • Signs up using the Business referral link
  • Purchases a VoltX Energy system
  • Pays in full
  • Completes installation

Rewards are issued unless otherwise specified in writing by an authorised VoltX Energy representative.

6. How are rewards paid?

Rewards are paid by bank transfer to the nominated business account during the monthly payout cycle, unless otherwise specified and agreed in writing between VoltX Energy and the Business Partner.

7. When are rewards paid?

Rewards are processed on the 15th of each month for referrals completed in the previous month.

8. What happens if two businesses would refer the same person?

The reward is allocated to the Business whose referral link was used by the Referred Customer during sign-up.

9. Can referrals be made outside the organisation?

The program is primarily intended for internal employee or member referrals. However, existing Business Referrer’s customers may also be referred, provided the referral link is used.

10. What behaviours may result in removal from the program?

A Business may be removed from the program for:

  • Abuse or harassment of VoltX Energy staff
  • Fraudulent or coordinated misuse of referral links
  • Public posting of referral links
  • Misleading employees or customers
  • Non-compliance with program rules

11. Can VoltX Energy decline a referral?

Yes. VoltX Energy reserves the right to decline any referral at its discretion.
